openb Service Terms and Conditions

These terms and conditions (the “Conditions”) govern your access to and use of the openb services and all solutions offered by openb. These Terms apply to all visitors, users and persons who access or use the Services.

Your use of the Services

openb is a service that allows the Client, through software, to dialogue with its clients automatically (hereinafter, the “Conversation”). In this sense, the openb Service, using artificial intelligence and natural language understanding, will provide answers to phrases (queries) according to the Client’s corresponding specification. The Conversation can have unlimited interactions. For any purpose, the number of active users or processed messages (incoming and outgoing per month) can be counted without distinction.

By accessing or using any of the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, entity or individual of any kind (“Organization”), you agree and acknowledge that the Organization, through you, agrees to these Terms, and that you have the power to represent and bind the Organization.

You may use the Services only if you are able to be bound by a contract with openb, in compliance with these Terms and all local, state and national laws. You further agree and acknowledge that the Services may change from time to time as they evolve, or as features are subtracted or added, which may occur without notice. You further agree that openb may, without prior notice, temporarily or permanently suspend the provision of the Service and/or any features of the Services to you or any of its users.

Knowledge

Among other things, the Services allow you to create, publish or upload information, text, graphics or other materials (“Knowledge” or, when created by you, “Your Knowledge”), and share it with third parties. You will retain ownership of Your Knowledge, and you acknowledge that openb will have NO liability if users or third parties copy, modify, re-transmit, or disseminate Your Knowledge. You understand and agree that posting Your Knowledge on the Services is not a substitute for registration with the appropriate copyright authority or any other copyright entity. Please consider carefully what you choose to share through the Services. You agree not to create, upload or publish Knowledge that: (i) may create a risk of harm, loss, physical or mental injury, emotional suffering, death,

disability, disfigurement or physical or mental illness of yourself or any other person or any animal; (ii) may create a risk of loss or damage to any person or property; (iii) is intended to harm or exploit minors by exposing them to inappropriate Knowledge, requesting personal or other information; (iv) may constitute or contribute to a crime or tort of any kind; (v) contains any information or Knowledge that is considered unlawful, harmful, abusive, racially or ethnically offensive, defamatory, invasive of personal privacy, harassing or humiliating to others, libelous, threatening or profane; (vi) contains any information or Knowledge that is unlawful (including, but not limited to, the disclosure of confidential information by operation of law or pursuant to third party business information); (vii) contains any information or Knowledge that you do not have the right to disseminate; or (viii) contains any information or Knowledge that you know to be incorrect or out of date. You agree that any Knowledge you post may not violate any rights of third parties, including, without limitation, intellectual property rights or privacy rights. openb reserves the right, but is in no way obligated, to reject and/or remove any Knowledge that it believes, in its sole discretion, violates these provisions.

You retain ownership of your Knowledge, but you authorize openb to use, copy, reproduce, process, adapt, modify, publish, transmit, edit, translate, display and distribute such Knowledge in connection with the provision of the Services.

You agree that openb may use your Knowledge as well as questions and answers, interactions and any content you own to improve its understanding and artificial intelligence processes and algorithms.

You agree that openb may modify or adapt your Knowledge in order to transmit, display or distribute it through social networks and/or different media. As well as
